Sathi Vyapar · Phone Care
Terms and Conditions
The rules for using Sathi Vyapar: what the Service is, what each side is responsible for, and the limits of our liability.
1. The agreement
These Terms and Conditions (“Terms”) are an agreement between Phone Care, Phone Care, Kattappana P.O, Kattappana, Idukki District, Kerala, India – 685508 (“Phone Care”, “we”, “us”), the owner and operator of Sathi Vyapar (സതി വ്യാപാർ), and the business that subscribes to it and every person who uses it on that business’s behalf (“you”, the “Shop”). Our Privacy Policy, Refund and Cancellation Policy and Shipping and Delivery Policy form part of these Terms.
These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not require a physical or digital signature.
2. Eligibility and business use
- You must be at least 18 years old and able to enter into a binding contract under Indian law.
- The Service is provided for business use. If you accept these Terms for a business, you confirm that you are authorised to bind it.
- You must give accurate information when you register and keep it up to date.
3. The Service
Sathi Vyapar is software-as-a-service for billing, point of sale, inventory, accounting, GST documents, repair service desk and related functions, available as a web application (app.myworksphere.in, also installable as a PWA), a Windows desktop application that works offline and synchronises when online, and an Android application (together, the “Service”).
- The features available depend on the plan bought and on the modules switched on for your account.
- We continually improve the Service and may add, change or remove features, screens or integrations. Where a change materially reduces a paid feature you rely on, we will try to give reasonable notice.
- Desktop and Android updates are delivered through the application’s own update mechanism; keeping them up to date is your responsibility, and older versions may stop being supported.
4. Accounts, users and security
- You are responsible for every user you add, the roles and permissions you give them, and everything done through your account.
- Keep sign-in codes, passwords, PINs and the devices that hold your data secure. Tell us at once if you suspect unauthorised access.
- Each plan allows a number of devices (computers, phones and browsers). Sharing logins or using more devices than your plan allows is not permitted; additional devices can be bought.
- We may refuse, suspend or reclaim a shop name or account that impersonates another person or business or is otherwise misleading.
5. Free trial and demonstration
Before buying, every business can evaluate Sathi Vyapar through a free trial or a live demonstration, arranged on request through our support number. You agree to use the trial or demonstration to satisfy yourself that the Service, its features and your printers and devices meet your needs before you pay. Trial data may be deleted if no plan is bought.
6. Plans, fees and payment
- Plans, their prices and durations are shown on the Pricing section of this website and in the app at the time of purchase. Prices are in Indian Rupees; any applicable taxes are shown at payment.
- Plans are paid in advance for the period chosen (for example one, two, three or five years). A plan starts when it is activated on your account and ends on the date shown in the app.
- Plans do not renew automatically unless you have set up an automatic payment mandate. To continue after a plan ends, you renew it.
- When a plan expires, access to the Service may be restricted until it is renewed. Expiry alone does not delete your data (see the Privacy Policy).
- We may change prices for future purchases and renewals. A change never affects a period you have already paid for.
- Payments are final and non-refundable except as set out in our Refund and Cancellation Policy.
- Custom development, data migration, training or other services quoted separately are governed by that quotation.
7. Your data
- Ownership. All business data you enter – customers, suppliers, items, invoices, payments, job sheets and reports – belongs to you. You grant us only the limited permission needed to host, process, back up, synchronise and display it to provide the Service.
- Your responsibility. You are solely responsible for the accuracy, quality and legality of your data, and for having any consent or lawful basis required to record and message your customers, suppliers and staff.
- Backups. We back up our servers, but you must keep your own regular backups and exports (Backup to Computer, Export to Excel), and you are responsible for the computers and phones that hold copies of your data.
- Export. You may export your data at any time while your account is active.
8. Tax, GST and accounting are your responsibility
- It is entirely the Shop owner’s responsibility to choose and verify the correct GST registration type in the settings – Regular, Composition or Unregistered – as well as GSTIN, state and place of supply, HSN/SAC codes, tax rates, cess, prices inclusive or exclusive of tax, TCS/TDS, invoice series and every other tax setting.
- You must check every invoice, credit note, return, report, e-way bill and e-invoice file before relying on it, issuing it to a customer or using it for any filing with the GST portal or any other authority.
- Wrong settings or entries produce wrong tax figures. Phone Care is not responsible for any tax computed, collected, filed or not filed on the basis of your settings or entries, nor for any resulting tax demand, interest, penalty, notice, assessment or loss of input tax credit.
- Consult a qualified tax professional for tax, legal or accounting advice.
9. Hardware, printers and third-party services
- Sathi Vyapar works with many thermal, A4/A5 and label printers, barcode scanners, computers, phones and operating systems, but we do not guarantee compatibility with any particular hardware, driver, browser, operating-system version or configuration. Check compatibility during the trial.
- We are not responsible for printer, scanner, cash-drawer or device faults, paper and printing quality, or for hardware supplied by others.
- Features that rely on third parties – including WhatsApp, payment gateways, banks and UPI, the GST portal and internet or telecom providers – depend on those services and their terms, which may change or fail without notice.
- WhatsApp: when you link your own WhatsApp number to send invoices and updates, you do so under WhatsApp’s terms and at your own risk. WhatsApp may limit, restrict or ban numbers at its discretion (for example for bulk or unsolicited messages); Phone Care is not responsible for any such action or for messages that are delayed or not delivered.
10. Fair usage and acceptable use
You must not, and must not allow anyone to:
- use the Service for any unlawful purpose, including issuing fake, inflated or fraudulent invoices, GST evasion, money laundering or trading in prohibited goods;
- send spam or unsolicited bulk messages, or messages that are abusive, defamatory, obscene or infringe anyone’s rights;
- attempt to gain unauthorised access to the Service, other accounts or our servers, or probe, scan or test their vulnerability;
- overload, flood or abuse the servers – including automated scraping, excessive API calls or anything that degrades the Service for other businesses;
- copy, modify, reverse engineer, decompile or create derivative works of the software, except as the law expressly permits;
- resell, rent, sublicense or share the Service or an account with businesses not covered by your plan; or
- upload viruses or any harmful code.
11. Suspension and termination
- We may suspend or terminate an account, immediately and without prior notice where necessary, if we reasonably believe it is being used for illegal activities, fraud or server abuse, breaches these Terms, endangers the security of the Service or other users, or if a payment is reversed or charged back without a valid reason.
- Where it is lawful and reasonable, we will tell you why and give you an opportunity to respond. Fees for a period cut short by a suspension or termination for these reasons are not refunded.
- You may stop using the Service and cancel at any time (see the Refund and Cancellation Policy).
- After an account ends, we keep its data for at least 30 days so that the owner can request a copy, unless the termination was for illegal use or the law requires otherwise. After that it may be deleted as described in the Privacy Policy.
12. Availability and support
We work to keep the Service available and fast, but do not guarantee that it will be uninterrupted, error-free or available at any particular time. Maintenance, updates, internet outages and events outside our control may interrupt it; the desktop application is designed to keep billing during internet outages. Support is provided by phone, WhatsApp and email during business hours (Monday to Saturday, 9:30 AM to 7:00 PM IST (closed on Sundays and public holidays)).
13. Intellectual property
The software, its design, logos, the names “Sathi Vyapar” and “സതി വ്യാപാർ”, and all related content are owned by Phone Care or its licensors and are protected by law. During a paid or trial period we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own business under these Terms. No other right is granted. Suggestions and feature requests you send may be used by us freely and without obligation.
14. “As is” – no warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, with all faults, and without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement or uninterrupted operation. You use the Service at your own judgement and risk.
15. Limitation of liability
To the maximum extent permitted by law:
- Phone Care, its owner, staff and partners shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss or damage, or for any loss of profit, revenue, business, goodwill, customers, opportunity or anticipated savings, or business interruption, however caused, even if we were told it might happen;
- Phone Care shall not be liable for accounting or tax-filing errors, including GST computation mistakes arising from your settings, rates or entries, or for any tax demand, interest or penalty;
- Phone Care shall not be liable for hardware, printer or device incompatibility or faults, or for failures of internet, power, third-party services, WhatsApp, banks or payment gateways;
- Phone Care shall not be liable for loss or corruption of data on your own computers or phones, or for data lost because you did not keep backups; and
- our total aggregate liability for all claims arising out of or relating to the Service or these Terms shall not exceed the subscription fees you actually paid us for the Service in the twelve (12) months before the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
16. Indemnity
You agree to indemnify and hold harmless Phone Care, its owner and staff from any claim, demand, loss, penalty or expense (including reasonable legal fees) arising out of your data, your use of the Service, your tax and regulatory filings, messages you send to your customers, or your breach of these Terms or of any law.
17. Events beyond our control
We are not responsible for any delay or failure caused by events beyond our reasonable control, including natural disasters, floods, fire, epidemics, war, riots, strikes, government action, power or internet failures, failures of hosting, telecom or third-party providers, and cyber-attacks.
18. Changes to these Terms
We may revise these Terms from time to time. The “Last updated” date shows the current version; material changes will be notified in the app or by WhatsApp or email before they take effect. Continued use after that date means acceptance of the revised Terms.
19. Governing law and jurisdiction
These Terms are governed by the laws of India. Before going to court, both parties will first try in good faith to resolve any dispute by contacting each other. Subject to that, any legal dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts at Idukki, Kerala, India, and both parties submit to that jurisdiction.
20. General
- Entire agreement: these Terms and the policies they refer to are the whole agreement between you and us about the Service.
- Severability: if any part is found unenforceable, the rest remains in force, and that part is applied to the maximum extent permitted.
- No waiver: not enforcing a right is not a waiver of it.
- Assignment: you may not transfer your account or these Terms without our written consent; we may transfer them with the business.
- Notices: we may notify you in the app, by WhatsApp or SMS to the registered mobile number, or by email. You may notify us at the contact details below.
